As an expat mother raising differently-abled children, I quickly realized the profound impact that sociocultural dynamics have on individual lives and business success. CONTRACTING SCLC SERVICES : OUR POLICIES, TERMS AND GENERAL CONTRACT AGREEMENT

SCLC Administrative Consultancy & Training Studies, LLC

1.0 Client – means any person, body of person, firm, Company, or representative entity with whom the Sociocultural and Lifestyle Consultancy, Content and Training Studies Department enters into a contract for the sale of goods or provision of services by SCLC/ SCLC Content and Training Studies Department, its brands and affiliates.

2.0 Acceptance of Terms and Conditions- All contract and transactions entered between the SCLC Content and Training Studies Department and the Client whether made verbally or in writing are subject to these terms and conditions which shall be deemed to be incorporated into any contract between the Consultancy and Training Studies and all or any of its Clients.

3.0 Copyright and Ownership The copyright and ownership of all services produced by SCLC Content and Training Studies Department and its affiliate brands, vendors and partners including but not limited to content, materials, images, events, concepts are owned by the SCLC Content and Training Studies Department. Unless SCLC gives written authorization, the Client is forbidden by law to copy any of these services, content and concepts et all and agrees that all corresponding side products or overflow content, likeness and such as mentioned and included in the delivery and results during and after execution of services shall and remain owned by SCLC ACS.

3.1 The license to reproduce such content, materials, concepts etc. is owned by SCLC and the Client is on the understanding that all invoices are paid within the corresponding service departments’ stated payment terms.

3.2 Reproduction rights and/or any type of publication rights and activities, methods, and platforms (if and when granted) are strictly limited to the use specified in the respective SCLC service departments’ invoice and/or quotation. An agreement must be reached with the Service Department before any materials or content are used for a different purpose or after the license to use or provision of services by SCLC has expired. SCLC reserves the right to charge an additional fee if the materials, content, concept or event is used, replicated, duplicated or marketed for purposes to the financial advantage of other than SCLC Sociocultural Consultancy and Training Studies Department and for purpose other than what is known and agreed on the SCLC service contract invoice and /or quotation and this contracts’ general provision on product and services’ copyright and ownership.

If the Client wishes to own the copy right of images/video or media/content personally produced by/ or for the Client during the event, this must ensure that such material is not deemed detrimental or prejudicial and disadvantages financially and image reputation wise to the content and concept of SCLC/ SCLC Content and Training Studies Department and corresponding current and future services.

If it is for a service that can be tailored and specifically contracted for the client by SCLC and the Client wishes to own the copyright, an additional fee will be paid by the Client to the SCLC department for Transferring the copyright. This fee will be mutually agreed by both parties. The transfer of copyright will only become applicable after this payment is made in full. Until then, all and any produced services remain SCLC property and not automatically owned or transferred to Client.

On instances where the Client requests reproduction of any materials or documentations from SCLC that they have supplied, all work is undertaken on the assumption that the Client has obtained written permission from the legal copyright holder. It is the same for when copies, reproduction, or duplication on their own accord within service providers other than SCLC using contracted services and its productions, material content and concept, SCLC may contract the Client and outside vendor to confirm that authorization to use and avail of such has been given. The Client agrees to fully indemnify SCLC in respect of any claims or damages, loss of possible income or any costs arising in respect of claims for copyright violation made by Client and/or with a third party.

3.3 All original materials, productions, print and digital, videos etc. created by SCLC Content and Training Studies Department remain the property of SCLC. The Service Department of SCLC will ensure that all such materials are stored safely for the SCLC. Should there be a special material or content designed /for Client, this will be stored safely by SCLC for future contract, repeat for the relevant fee.

SCLC reserves the right to make reproductions of content and materials created during services for marketing, promotional, competition and editorial purposes.

4.0 Client/Model Release

The Client hereby assigns SCLC the irrevocable and unrestricted right to use and publish photographs, videos, material and intellectual content, and likeness of the client/ participants of services as undertaken by the client or in which the Client and their party may be included, for editorial, trade, advertising, educational and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same without restriction. The Client releases all claim to profits that may arise from use of images, content et all.

5.0 Cancellation Fees/ Overrun

If a booking or purchase is cancelled by the Client within one working day of the starting time, SCLC Content and Training Studies Department retains the right to charge full fee for the assignment/training/services and/or product contracted and purchased. If a booking/product or service purchased is cancelled within two weeks of the starting time, SCLC Department may charge 50% of the fee.

For cancellations/postponements due to weather conditions, SCLC Content and Training Studies Department reserves the right to charge full fee and expenses due to weather conditions on location.

In such instances, SCLC Content and Training Studies Department may charge in full for expenses (e.g., including but not limited to; hire of vendors, resource specialist, equipment, props, materials, venue, performers etc.), that SCLC may have incurred prior or during the assignment taking place.

Services and projects beyond and outside the standard training such as exhibits, roadshows, stage and live performances and the like productions require 75% fee paid at the latest two weeks before the scheduled event. Cancellations two weeks prior to project (not training) schedule are subject to 25% refund depending on incurred expenses outlay on behalf of client. Other major expenses already incurred for and on behalf of client to vendors, and our venue contracted for the project is payable full fee by client outside and on top of 75% paid fee should there be cancellation two weeks prior.

SCLC Content and Training Studies Department may make additional charges should an assignment overrun which is beyond the control of SCLC (e.g., including but not limited to; the Client requesting additional presentations or discussions over and above the Client's original brief etc.)

6.0 Payment Terms

Full fee or at minimum 50% non-refundable retainer fee is due at the time of signing of agreement or purchase of service. The remaining balance of events and production services is payable in full two weeks prior to or the day of the EVENT(S). For training and such, the full registration fee must be transferred and fulfilled a maximum of two days before the event. In the event the CLIENT fails to remit payment as specified, the COMPANY shall have the right to immediately terminate this agreement with no further obligation, retain any monies already paid, and not attend the training, presentation/EVENT(S). Advance booking rules apply where applicable to ensure reservation and confirmation of slots.

In case of failure to pay remaining balance as per agreed payment schedule for the Event, SCLC Content and Training Studies Department reserves the right to hold for the delivery of the output until payment is prepared.

7.0 Retention of Title

SCLC Content and Training Studies Department reserves the right to retain all the Client’s materials in possession until all monies owed to the Consultancy and Training Studies Department have been paid in full. Furthermore, the license to publish, reproduce content, materials, images, and such used by Consultancy and Training Studies Department will also be revoked until payment has been made.

8.0 Fees and Expenses

All prices quoted to the Client for curated special projects apply only to the original job description and specifications given to the SCLC Content and Training Studies Department by the Client. The SCLC Content and Training Studies Department reserves the right to make additional charges for fees and expenses should these descriptions or specifications differ or change before or during the assignment. Wherever possible, the Content and Training Department shall endeavor to provide an indication of what these additional charges will be.

9.0 Representation If and When Applicable for Special Projects

The Client shall ensure that there is an authorized representative present at the assignment to ensure the correctness of the SCLC Content and Training Studies Departments’ interpretation of the Clients brief. In the event of no Client representation, the Content and Training Department interpretation of the brief shall be deemed as correct. If otherwise not within the special projects category, SCLC Content and Training Studies Department reserves all rights and discretion on content and manner of presentation et al as advertised.

10.0 Delivery Shortages / Loss and Damage in Transit

Claims for damage, non-delivery or shortages will not be considered unless notified in writing within seven days of delivery.

The SCLC Content and Training Studies Department will make reasonable endeavors to ensure that items/services outsourced and delivered by a third party are suitably curated as per ordered services. The Content and Content Department cannot accept liability for loss or damage caused by a third party.

For events and performances, when valuable items or equipment are involved, the Client should take out suitable insurance cover. Upon written request, the Content and Training Department will provide suitable loss/damage cover for an additional charge.

11.0 Confidentiality

The Content and Training Department acknowledges that in the performances of the services, they may receive information from the Client which is designated by the Client as confidential. Upon request from the Client, the Content and Training Department agrees to keep this information secret and not to disclose such information to other parties except as required by law.

12.0 Conduct

The Client shall be responsible for their behavior and/or any persons accompanying them to an assignment. The Content and Training Department reserves the right to terminate any assignment without notice if SCLC deems the Clients behavior to be unruly or unsafe. In such instances, the SCLC Content and Training Studies Department reserves the right to charge full fees and expenses as described in clause 5.0 of these Terms and Conditions. The Client will fully reimburse the SCLC Content and Training Studies Department or his agents for any loss of income/damage they cause to property or equipment.

13.0 Delivery of Products and Services

The supply of products and services are provided by the SCLC Content and Training Studies Department on a best endeavors basis. The SCLC Content and Training Studies Department will not be liable for delays that are beyond their reasonable control. SCLC Content and Training Studies Department is not liable or responsible for the subjective and personal reaction/interpretation of the client on the level of “satisfaction” to content. We deliver content and services contracted thus fulfilling our contract commitment.

13.1 The SCLC Content and Training Studies Department shall make reasonable efforts to meet agreed deadlines where applicable. The Content and Training Department shall not be liable for any delays in meeting any of the obligations which were due to causes beyond their reasonable control including but not limited to; postage/courier/lab delays, artist and resource unavailability, war/acts of terrorism, riots, government legislation, industrial action, adverse weather conditions, acts of God, floods, fire, loss or damage in transit, Client changes and demands outside of the schedule etc.

14.0 Prices & Terms

All prices shown within SCLC Content and Training Studies Department price list are subject to change without prior notice. The Content and Training Department reserves the right to amend these Terms and Conditions without prior notice.

15.0 Rush Services

The SCLC Content and Training Studies Department reserves the right make an additional charge should the Client request a rush service. This service is subject to availability and cannot be guaranteed.
